If I may add a point... I would say it&#039;s important to consult with an attorney earlier, rather than later, in a contractual relationship.  It&#039;s great when a lawyer can get you out of a jam, but it&#039;s more cost-effective to invest a bit in preventative advice.

For any reasonably large undertaking, I tend to recommend bringing in both an attorney and a CPA in the brainstorming phase.  This to help structure the framework of a deal well before filling in details.  Helps avoid having to backtrack down the road (and give up concessions) to make necessary changes.</description>
