If I may add a point… I would say it’s important to consult with an attorney earlier, rather than later, in a contractual relationship. It’s great when a lawyer can get you out of a jam, but it’s more cost-effective to invest a bit in preventative advice.

For any reasonably large undertaking, I tend to recommend bringing in both an attorney and a CPA in the brainstorming phase. This to help structure the framework of a deal well before filling in details. Helps avoid having to backtrack down the road (and give up concessions) to make necessary changes.
